This Licensing Agreement ("Agreement") is entered into between The Doc App, Inc. d/b/a/ My Florida Green ("Licensor") and the user ("Licensee") of The Doc App mobile application ("Application") and website ("Website") operated by Licensor. This Agreement governs the use of the Application and Website by Licensee, including but not limited to patients, doctors, and their authorized agents acting as caregivers under Florida law.
This Licensing Agreement is incorporated by reference into the Terms of Use and Privacy Policy of The Doc App, Inc. By accessing and using the Application and Website, Licensee agrees to comply with the provisions of this Agreement, as well as the Terms of Use and Privacy Policy.
Licensor, The Doc App, Inc., grants Licensee a non-exclusive, non-transferable license to use the Application and access the Website, subject to the terms and conditions set forth in this Agreement, Terms of Use, and Privacy Policy. The license is limited to the use of the Mobile Application and Website for personal and lawful purposes related to medical consultations, recommendations, and related services in accordance with applicable laws and regulations of the State of Florida.
Licensee acknowledges and agrees that the Application, Website, and all related content, including their designs, features, logos, trademarks, and underlying technology, are the proprietary and intellectual property of Licensor. Licensee shall not reproduce, modify, distribute, or create derivative works based on the Application, Website, or any part thereof without the prior written consent of Licensor.
Licensee shall use the Application and access the Website in compliance with all applicable laws, regulations, and ethical guidelines. Licensee shall not use the Application or Website for any unlawful, fraudulent, or unauthorized purposes. Licensee acknowledges that Licensor is not responsible for the content generated by users of the Application or Website and disclaims any liability arising from such content.
Licensor takes privacy and data security seriously. Licensee acknowledges and agrees that the use of the Application and Website may involve the collection, storage, and processing of personal information. Licensor shall handle such personal information in accordance with its Privacy Policy, which is incorporated by reference into this Agreement.
This Agreement shall remain in effect until terminated by either party. Licensor reserves the right to terminate this Agreement and revoke Licensee's access to the Application and Website at any time, with or without cause, in its sole discretion. Licensee may also terminate this Agreement by ceasing to use the Application, uninstalling it from Licensee's device, and discontinuing access to the Website.
The Application and Website are provided on an "as is" basis, without any warranties or representations, whether express or implied. Licensor disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Licensor does not guarantee the accuracy, completeness, or reliability of any content or information provided through the Application or Website.
To the maximum extent permitted by law, Licensor shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Application or Website. This limitation of liability applies regardless of the form of action, whether in contract, tort, or otherwise, even if Licensor has been advised of the possibility of such damages.
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Florida.
By using the Application and accessing the Website, Licensee acknowledges that they have read and understood this Agreement and agree to be bound by its terms and conditions.
